UploMD Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and UploMD, Inc. ("UploMD," "we," "us," or "our") governing your access to and use of the UploMD applications, websites, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

UploMD is not a healthcare provider and does not provide medical advice. The Service helps you collect, organize, store, and share your own medical records. It is not a substitute for professional medical care, diagnosis, or treatment, and it is not for emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate. The Service is intended for users in the United States.

2. What UploMD Does

UploMD is a patient-controlled platform that lets you:

UploMD is a personal health record and administrative tool. We are not a covered entity practicing medicine, and using the Service does not create a doctor–patient relationship between you and UploMD.

3. Authorization to Request Records on Your Behalf

When you ask UploMD to obtain records from a facility, you authorize us to act as your personal representative or designated agent for the limited purpose of requesting, receiving, and importing those records into your account. You confirm that any release or authorization you sign through the Service is accurate, that you are the patient (or the patient's legally authorized representative), and that you have the right to request the records. You may withdraw this authorization at any time, though it will not affect requests already sent.

4. No Medical Advice; Accuracy of Records

Content in the Service — including records obtained from third parties, AI-generated summaries, and your summary profile — is provided for your information and personal record-keeping. It may be incomplete, delayed, out of date, or contain errors introduced by the source facility or by automated processing. Always confirm important medical information with your healthcare provider and do not rely on the Service for clinical decisions.

5. AI Features

The Service uses artificial intelligence to extract information from documents, build summaries, and answer questions about your records ("AI Features"). AI Features can make mistakes and may produce inaccurate or incomplete output. They do not provide medical advice. You are responsible for verifying any AI-generated content before relying on it. Where indicated, AI output may be reviewed by our staff, but we do not guarantee the accuracy of any AI-generated or human-reviewed content.

6. Sharing and Your Inner Circle

You control who can view your records. If you grant someone access (for example, a family member, caregiver, or clinician), you are responsible for that decision and for the information they can then see. You can revoke access at any time, but you cannot retract information a recipient has already viewed, downloaded, or copied. Certain features may allow verified emergency responders to access limited information when you have opted in; you control that opt-in in your settings.

7. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@uplomd.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

8. Subscriptions, Billing, and Cancellation

Some features require a paid subscription (for example, Plus or Premium plans). Subscriptions are billed in advance on a recurring basis through our payment processor (Stripe) until cancelled. Prices and plan features may change; we will give notice of material changes. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable. You authorize us and our payment processor to charge your payment method for applicable fees and taxes.

9. Acceptable Use

You agree not to: (a) use the Service to access records that are not yours or that you are not authorized to obtain; (b) upload unlawful, infringing, or malicious content; (c) attempt to disrupt, reverse engineer, or gain unauthorized access to the Service; (d) use the Service to harass others or violate their privacy; or (e) use the Service in violation of any applicable law.

10. Intellectual Property

The Service, including its software, design, and content (excluding your records and the content you provide), is owned by UploMD or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. You retain all rights to your own records and content; you grant us the limited rights necessary to host, process, and display that content to operate the Service for you.

11. Third-Party Services

The Service relies on third-party providers (for example, cloud hosting, fax and telephony, email delivery, payment processing, and AI providers). Your use of the Service may be subject to those providers' terms. We are not responsible for third-party services or for healthcare facilities that send, withhold, or delay your records.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. On termination, your right to use the Service ends; provisions that by their nature should survive (including disclaimers, limitations of liability, and dispute terms) will survive.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT RECORDS WILL BE COMPLETE, ACCURATE, OR DELIVERED ON TIME.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UPLOMD AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold UploMD harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to any applicable arbitration agreement, you agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute arising from these Terms or the Service.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email and update the effective date above. Your continued use of the Service after changes take effect constitutes acceptance.
